Plain-language summary

This summary is provided for convenience. The numbered sections below are the binding terms and control if this summary conflicts with them.

  • You keep ownership of your Storyteller Content.
  • You give Grace Unworthy a limited license to host, deliver, secure, search, and moderate that content for authorized members and Customers.
  • We do not sell your Storyteller Content, turn it into competing curriculum, or use it to train general-purpose AI models without separate written permission.
  • When Gateway launches, you will connect your own supported merchant account. You—not Grace Unworthy—will be the merchant of record, seller, and recipient of Customer payments.
  • When Gateway launches, we will provide the Story Haven shopping-cart, checkout, and payment-gateway interface. Stripe is expected to be the first supported processor. We may add other processors, but are not required to do so.
  • When Gateway launches, we will calculate a progressive Platform Fee from payments processed through the Gateway, issue a monthly invoice and statement, and automatically debit the authorized bank account by ACH. If the final monthly calculation results in a net credit owed to you, we will send the refund by ACH. Until launch, we do not collect Platform Fees or ACH.
  • You remain responsible for your Storyteller Offers, content, advertising, Customers, refunds, chargebacks, taxes, professional obligations, and compliance with law.
  • Certain higher-risk activities—including youth programs, live events, physical products, professional services, and sensitive-data programs—require our prior written approval and may require an addendum.
  • Either party may end the relationship, subject to active Customer obligations, unpaid amounts, refunds, data retention, and transition requirements.

Gateway, Platform Fees, and ACH take effect at launch

Sections 16 and 17 (Gateway, merchant-of-record, Platform Fees, statements, tax forms, and ACH billing) take effect when Story Haven Checkout / Gateway is launched for Storytellers. Until then, paid rooms and Storyteller checkout are not for sale, we do not collect Platform Fees or ACH, and you are not required to connect a merchant account. Product copy that paid rooms are "not for sale yet" controls the current product. We will notify you before launch and may require re-acceptance of any material update.

1. Parties and Acceptance

This Storyteller Agreement (the "Agreement") is a legally binding contract between Grace Unworthy Ministries, LLC ("Grace Unworthy," "we," "our," or "us") and the individual accepting this Agreement, or the organization that individual represents ("Storyteller," "you," or "your").

If you accept on behalf of an organization, you represent and warrant that you have authority to bind that organization. In that case, "you" and "Storyteller" refer to both you and the organization. If you do not have that authority, do not accept this Agreement.

You accept this Agreement by clicking an acceptance control, signing it electronically or physically, or using Storyteller features after being presented with this Agreement. We will retain the version you accepted, the acceptance time, the accepting account, and related technical records.

Version 2026-09-21. Material changes require re-acceptance before Storyteller tools work. Historical acceptances are retained.

2. Definitions

2.1 “Account Owner”

"Account Owner" means the individual authorized to control the Storyteller account, designate Administrators, connect Merchant Accounts, receive notices, and make binding decisions for the Storyteller.

2.2 “Administrator”

"Administrator" means a person the Account Owner authorizes to manage some or all Storyteller features.

2.3 “Customer”

"Customer" means a person or organization that purchases, subscribes to, registers for, or receives a Storyteller Offer through the Services.

2.4 “Customer Payment”

"Customer Payment" means an amount successfully authorized, captured, and settled through the Gateway for a Storyteller Offer. Customer Payments exclude transactions that fail, are declined, or are canceled before settlement.

2.5 “Gateway”

"Gateway" means the Story Haven shopping-cart, checkout, subscription, and payment-routing interface that connects a Customer to the Storyteller’s Merchant Account. Grace Unworthy does not receive, hold, own, or control Customer funds merely by providing the Gateway.

2.6 “Gateway Transaction”

"Gateway Transaction" means a Customer Payment initiated, created, captured, renewed, or otherwise facilitated through the Gateway, including an installment, renewal, upsell, rebill, or off-session payment connected to an original Gateway purchase. A payment initiated independently through a Storyteller’s separate website, terminal, invoice, or processor dashboard is not a Gateway Transaction unless it is created from or attributed to the Gateway.

2.7 “Merchant Account”

"Merchant Account" means the Storyteller’s own account with Stripe or another payment processor we later support. The Merchant Account is established in the Storyteller’s legal name and is governed by the Storyteller’s agreement with that processor.

2.8 “Monthly Gateway Volume”

"Monthly Gateway Volume" means the U.S.-dollar value of Gateway Transactions settled during a calendar month, excluding separately stated sales, use, value-added, or similar transaction taxes and reflecting any discount applied before payment. Monthly Gateway Volume is calculated before payment-processing fees, currency-conversion fees, affiliate commissions, payout fees, dispute fees, or other Merchant Account charges.

A transaction fully refunded before the applicable monthly statement is issued is excluded. The retained portion of a partially refunded transaction remains included. Refunds, credits, chargebacks, and reversals recorded after a statement are handled through Fee Adjustment Credits under Section 17.6.

2.9 “Platform Fee”

"Platform Fee" means the fee calculated under Section 17 for use of the Gateway and related commercial Storyteller features.

2.10 “Services”

"Services" means The Story Haven and Storyteller features made available by Grace Unworthy Ministries, LLC through the properties listed in our Covered Properties notice.

2.11 “Storyteller Content”

"Storyteller Content" means content that you create, own, control, or lawfully provide through the Services, including courses, lessons, videos, audio, community posts, podcasts, blog material, worksheets, PDFs, graphics, frameworks, trademarks, and imported materials.

Storyteller Content does not include the Services, Grace Unworthy Content, content created independently by members or Customers, Platform Account Data, or feedback you voluntarily provide about the Services. Personal information is not "owned" by either party; each party’s rights and obligations concerning it are governed by applicable law, this Agreement, and the incorporated policies.

2.12 “Storyteller Offer”

"Storyteller Offer" means a course, paid room, subscription, membership, event, digital product, service, or other offering that you make available through the Services.

3. Incorporated Policies and Order of Precedence

The following policies are incorporated into this Agreement by reference:

  • Terms of Service
  • Privacy Policy
  • The Story Haven Community Guidelines
  • Refunds & Cancellations Policy
  • DMCA & Copyright Policy
  • Security Policy
  • Data Deletion & Retention Policy
  • AI & Automated Moderation Notice
  • Voice Transcription Notice
  • Storyteller Purchase & Release Terms
  • Biblical Dispute Resolution Policy
  • any additional policy or addendum you expressly accept for an enabled feature

Order of precedence

If these documents conflict, the following order controls:

  1. a signed written amendment, addendum, or order form expressly modifying this Agreement;
  2. this Agreement for Storyteller Content, Storyteller Offers, Gateway Transactions, Platform Fees, ACH billing, migration, and other Storyteller commercial activity;
  3. a specific checkout disclosure for the Customer’s purchase, refund, cancellation, or subscription terms;
  4. the Refunds & Cancellations Policy for Customer refunds, cancellations, and renewals;
  5. the other incorporated policies for the subjects they specifically address; and
  6. the Terms of Service for all remaining matters.

4. Application, Account Authority, and Eligibility

4.1 Approval and feature availability

Storyteller access is request-only. An application does not guarantee approval. We may approve, decline, limit, suspend, or condition access based on community capacity, feature availability, safety, legal risk, payment risk, technical requirements, mission alignment with published standards, or other legitimate operational considerations.

Community hosting is currently free. Paid courses, rooms, subscriptions, Gateway access, migrations, and other commercial features apply only when enabled or scheduled for you. A reference to a feature does not promise that it is generally available or will be enabled for you.

4.2 Accurate onboarding information

You must provide accurate and current legal name, business name, ownership, address, tax, banking, identity, licensing, and contact information. You will promptly update material changes. We or a supported processor may require identity, beneficial-owner, bank, tax, sanctions, fraud, or prohibited-business verification before or during your use of commercial features.

You represent that neither you nor, to your knowledge, a controlling owner is prohibited from using the Services under applicable sanctions, export-control, processor, or banking rules. You may not use the Services for a prohibited jurisdiction, person, product, or transaction.

4.3 Account Owner and Administrators

Each Storyteller account must have one Account Owner. The Account Owner may designate Administrators and limit their permissions where supported. You are responsible for Administrator actions taken within granted access.

We may rely on instructions from the Account Owner and authorized Administrators until access is revoked in the Services or we receive and process written notice. You must promptly remove access for former personnel and notify us of a disputed change in control. We may temporarily freeze payouts, billing changes, exports, publication, or other sensitive actions while reasonably investigating an authority dispute.

You must use multi-factor authentication when available, protect credentials, and avoid shared personal logins.

4.4 Collaborators and co-creators

You are responsible for obtaining written agreements with co-creators, co-hosts, guest instructors, employees, contractors, and other contributors covering ownership, licenses, payment, confidentiality, and authority. You represent that their participation does not conflict with this Agreement or third-party rights.

Unless a signed split-payment addendum states otherwise:

  • the Storyteller is the sole contracting party and payee for our purposes;
  • we do not calculate, administer, guarantee, or resolve collaborator revenue shares;
  • payment or credit to the designated Storyteller satisfies any obligation we have relating to that amount; and
  • collaborator disputes do not excuse your obligations to Customers or to us.

4.5 Non-exclusive relationship and no guaranteed results

The relationship is non-exclusive. You may publish, host, teach, and sell elsewhere. We may work with other Storytellers, including those serving similar audiences or addressing similar subjects.

We do not guarantee audience growth, visibility, member engagement, revenue, conversion, sales volume, search placement, feed distribution, or any other business, ministry, or personal outcome.

5. Independent Contractor; No Agency

You are an independent contractor and not our employee, partner, fiduciary, franchisee, joint venturer, representative, or agent. You may not bind us, enter contracts in our name, incur obligations for us, speak on our behalf, or represent that you are our employee or authorized representative.

You control the substance, schedule, pricing, and delivery of your Storyteller Offers, subject to this Agreement, the incorporated policies, technical limits, and applicable law. You are responsible for your personnel, subcontractors, insurance, licenses, permits, and taxes.

Nothing in this Agreement creates an exclusive relationship, minimum work obligation, employment benefit, or entitlement to compensation other than amounts expressly described here.

6. Storyteller Responsibilities

You will:

  1. maintain accurate descriptions, prices, schedules, prerequisites, refund terms, billing frequencies, renewal terms, and access periods for every Storyteller Offer;
  2. deliver each Storyteller Offer substantially as advertised and provide reasonable content and Customer support;
  3. comply with advertising, consumer-protection, privacy, accessibility, intellectual-property, subscription, tax, export-control, professional, and other laws applicable to you and your Storyteller Offers;
  4. obtain releases, licenses, permissions, and consents needed for people, music, images, quotations, testimonials, recordings, personal information, and third-party materials;
  5. make required disclosures concerning material connections, sponsorships, professional credentials, risks, recurring billing, typical results, and limitations;
  6. avoid false, misleading, unsubstantiated, coercive, or exploitative claims, including guaranteed health, mental-health, financial, legal, relationship, spiritual, or business outcomes;
  7. maintain independent copies of source files and important business records rather than treating the Services as your only backup;
  8. promptly respond to fulfillment, safety, rights, refund, and regulatory issues concerning your Storyteller Offers; and
  9. promptly tell us about suspected unauthorized access, unlawful content, material Customer complaints, regulatory inquiries, legal claims, or safety issues relating to your use of the Services.

You may not use the Services to offer unlawful products or services; pyramid, chain-referral, or deceptive income programs; unlicensed professional services where a license is required; exploitative content; or anything prohibited by the Terms of Service, Community Guidelines, processor rules, or published Storyteller standards.

7. Special and Restricted Storyteller Offers

7.1 Prior approval

The following may not be sold, promoted, or operated through the Services without our prior written approval and any required addendum:

  • live events, conferences, retreats, travel, lodging, transportation, or physical activities;
  • childcare, youth programs, or offerings directed to minors;
  • physical goods, ingestible products, supplements, food, medical devices, or regulated products;
  • individualized counseling, therapy, medical, mental-health, nutrition, legal, tax, investment, or other licensed professional services;
  • fundraising, charitable solicitations, raffles, contests, sweepstakes, or political fundraising;
  • an offer with unusually long future-delivery, refund, or cancellation exposure; or
  • another category that creates material safety, regulatory, processor, or insurance risk.

Approval may be conditioned on disclosures, insurance, credentials, waivers, background screening, emergency procedures, refund reserves within your Merchant Account, or a separate addendum. Approval of one offer does not approve another.

7.2 Minors and youth programs

You may not direct a Storyteller Offer or community to children under 13, knowingly collect personal information from a child under 13, or enable adult-to-minor private interaction without our prior written approval and a signed Youth Program Addendum.

For participants aged 13 through 17, you must comply with platform age rules, obtain parental or guardian permission where required, use appropriate safeguarding practices, restrict private adult-minor communications, obtain media releases before recording or publishing a minor, and follow applicable reporting laws. Programs involving direct or in-person contact with minors may require background screening, two-adult practices, and specific insurance.

7.3 Professional and wellness services

You may not diagnose, treat, or claim to cure a medical or mental-health condition unless legally authorized and specifically approved for that use. You must accurately state credentials, jurisdiction, scope of practice, limitations, and emergency boundaries.

The Services are not emergency, crisis, medical-record, or clinical-care systems. Unless we sign a Business Associate Agreement expressly covering a feature, you may not use the Services to store or process protected health information in a way that requires HIPAA compliance.

7.4 Live events and physical offerings

For an approved live or physical offering, you are responsible for venues, vendors, accessibility, permits, participant waivers, emergency plans, product safety, shipping, recalls, transportation, lodging, food safety, and legally required insurance unless a signed addendum expressly allocates an item differently.

7.5 Donations and charitable representations

You may not describe a payment as a tax-deductible charitable contribution unless an authorized tax-exempt organization controls the solicitation and provides any required receipt. Checkout and promotional materials must distinguish purchases, sponsorships, tips, gifts, and charitable contributions.

7.6 Faith-centered environment

The Story Haven is a faith-centered community. Honest theological discussion is permitted subject to the Community Guidelines. You may not misrepresent endorsement by Grace Unworthy or another ministry. Any doctrinal or ministry-specific requirement imposed on Storytellers must be contained in a published standard or addendum presented to you; unpublished theological criteria do not amend this Agreement.

8. Intellectual Property

8.1 Your ownership

You retain all right, title, and interest in your Storyteller Content. Nothing in this Agreement transfers ownership of your copyright, trademarks, teaching frameworks, Customer-facing materials, or other intellectual property to us.

8.2 Our ownership

We and our licensors retain all right, title, and interest in the Services, Gateway, platform software, databases, designs, documentation, trademarks, moderation systems, recommendation systems, and Grace Unworthy Content. Except for the limited right to use enabled Storyteller features, no license to our property is granted.

8.3 Limited platform license

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, back up, cache, format, transcode, create technical derivatives of, display, transmit, search, index, moderate, and distribute Storyteller Content solely as reasonably necessary to:

  • operate, maintain, secure, and improve delivery of the Services;
  • provide content to members and Customers whom you authorize;
  • provide accessibility, transcription, search, and course-question features described in this Agreement and our policies;
  • prevent fraud, abuse, infringement, and security incidents;
  • comply with law, legal process, and retention obligations;
  • preserve evidence and resolve disputes; and
  • complete the Customer-transition obligations in Sections 24 and 25.

"Technical derivatives" include format conversion, compression, thumbnails, captions, transcripts, search indexes, and similar technical copies. They do not include new courses, competing curriculum, marketing campaigns, or commercial adaptations of your teaching.

8.4 Restrictions on our use

Without your separate written permission, the license in Section 8.3 does not allow us to:

  • sell or license your Storyteller Content as a Grace Unworthy product;
  • use it in external advertising, endorsements, or promotions;
  • incorporate it into our curriculum or another Storyteller’s materials;
  • use it to train or fine-tune a general-purpose artificial-intelligence model; or
  • generate content for another Storyteller from your proprietary materials.

8.5 Name, likeness, and marks

You grant us permission to display your name, approved likeness, trademarks, biography, and Storyteller Offer titles inside the Services as reasonably necessary to identify you and deliver your Storyteller Offers. External press, paid advertising, endorsements, or off-platform promotion using your name, likeness, or marks requires separate permission, except for factual, non-endorsement references necessary for directories, checkout, receipts, Customer support, and legal notices.

8.6 Customer license

Unless your checkout terms provide a different lawful license, a Customer receives a limited, personal, non-exclusive, non-transferable license to access purchased Storyteller Content for the stated access period and solely for the Customer’s own non-commercial educational, ministry, or devotional use. Access remains subject to payment, account standing, and applicable terms. Customers may not reproduce, resell, publicly republish, share credentials for, distribute, scrape, or use that content to train machine-learning models.

8.7 End of platform license

The license in Section 8.3 ends when the applicable Storyteller Content is deleted from active systems or this Agreement terminates, except that it continues only as reasonably necessary for:

  • valid Customer access already purchased;
  • refunds, disputes, exports, and transition;
  • security logs and evidence;
  • records required for tax, legal, safety, or compliance purposes;
  • encrypted backups awaiting normal rotation; and
  • copies already lawfully obtained by Customers or members.

The surviving license does not permit new sales, new external marketing, unrelated AI use, or delivery to unauthorized people.

8.8 Feedback

If you voluntarily provide suggestions about the Services, you grant us a perpetual, worldwide, non-exclusive, royalty-free right to use those suggestions without identifying you or using your Storyteller Content. This does not transfer ownership of your existing frameworks, curriculum, or materials.

9. Content Rights, Claims, and Removal

You represent and warrant that you own or control all rights necessary to use and license Storyteller Content as described here and that your Storyteller Content and Storyteller Offers do not violate law, privacy rights, publicity rights, intellectual-property rights, contractual obligations, or incorporated policies.

Copyright complaints are handled under the DMCA & Copyright Policy. We may remove, disable, restrict, preserve, or suspend access to content while investigating a rights complaint, safety concern, court order, government request, or other legal risk. Where lawful and reasonably practical, we will notify you and allow you to respond.

10. Artificial Intelligence, Search, and Transcription

10.1 No unrelated model training

We do not use Storyteller Content to train general-purpose models, generate competing materials, create content for other Storytellers, or build a commercial content library without separate written permission. When supported by the selected service terms, we will contractually restrict AI, transcription, and search providers from using Storyteller Content for their unrelated model training.

10.2 Course search and enrolled-Customer assistance

When enabled, we may index Storyteller Content so authorized Customers can search it or ask questions within the applicable Storyteller Offer. Access controls will be designed to limit retrieval to authorized users. AI-generated answers may be inaccurate. You are responsible for reviewing your content and deciding whether to enable optional AI-assisted course features.

10.3 Storyteller use of external AI

You may not upload private community content, Customer information, prayer requests, journal entries, trauma or health information, another person’s confidential information, or proprietary third-party materials into an external AI service unless you have authority, a lawful basis, required consent, appropriate security, and any required disclosure.

You remain responsible for the accuracy, safety, originality, rights clearance, and disclosure of AI-generated or AI-assisted content you publish.

10.4 Moderation and transcription

Community posts, comments, audio, and voice notes may be processed under the AI & Automated Moderation Notice, Voice Transcription Notice, Privacy Policy, and The Story Haven Community Guidelines. These systems support safety, accessibility, moderation, and platform operations; they do not expand our license to exploit Storyteller Content commercially.

11. Community Management and Safety

You are responsible for reasonable day-to-day moderation of communities, groups, and rooms assigned to you. You may adopt rules stricter than the Community Guidelines, but not rules permitting conduct they prohibit.

We may investigate reports and may label, limit distribution of, hold, remove, or disable content or accounts when we reasonably believe action is needed for safety, policy enforcement, legal compliance, fraud prevention, service integrity, or risk management. Automated systems may take temporary actions pending human review. Review and contest procedures are described in the Community Guidelines and AI & Automated Moderation Notice.

The Services are not emergency or crisis services, and neither party undertakes a general duty to monitor every communication. If you become aware of an imminent safety concern, use available reporting tools and contact appropriate emergency services when reasonably necessary. You must not present yourself as a licensed clinician, counselor, attorney, financial professional, or clergy member unless that representation is accurate.

12. Member and Customer Data

12.1 Data categories

For clarity:

  • Platform Account Data includes credentials, authentication records, device information, safety records, platform-wide settings, and operational logs controlled by Grace Unworthy.
  • Storyteller Customer Data includes Customer contact, enrollment, transaction-reference, and support information intentionally made available to you for a specific Storyteller Offer.
  • Member Content and Communications belongs to or is controlled by the person who created it and remains governed by visibility, privacy, moderation, and retention rules.

These categories describe access and responsibility, not ownership of a person’s personal information.

12.2 Permitted use

You may use Storyteller Customer Data only to deliver the community or Storyteller Offer the person joined, provide requested support, comply with law, and send marketing for which you have a valid legal basis and any required consent.

You may not sell that information, use it to build an unrelated list, disclose it to unauthorized third parties, scrape information not intentionally provided to you, combine it with brokered data, or contact a person inconsistently with their settings, consent, or law.

12.3 Customer exports and post-termination use

An available export may include basic contact and enrollment information for Customers who purchased or expressly joined your Storyteller Offer, subject to their settings, consent, law, technical availability, and our need to protect other users and platform security.

An export does not include passwords, payment credentials, private messages not addressed to you, platform-wide activity, proprietary rankings, fraud signals, moderation methods, other communities’ information, or data we are not legally permitted to disclose.

After export, you independently control your copy and are responsible for privacy notices, security, deletion requests, consent records, suppression lists, and lawful marketing. Consent to receive Grace Unworthy marketing does not by itself authorize your marketing.

12.4 Privacy roles and required addenda

Depending on the feature and law, Grace Unworthy and the Storyteller may each act as an independent controller or business for information each determines how and why to use. If one party processes personal information solely for the other, the parties will accept any legally required Data Processing Addendum before enabling that processing.

12.5 Sensitive information

"Sensitive Information" includes health, mental-health, trauma, abuse, sexuality, biometric, precise-location, religious-practice, prayer, journaling, counseling, crisis, financial-account, government-identifier, and minor-related information.

You may use Sensitive Information only to provide the specific feature or support the person requested. You may not sell it; use it for targeted advertising; create unrelated profiles; use it to determine eligibility for unrelated products; disclose it to unauthorized third parties; or use it for external AI training.

You may not request diagnoses, medical histories, crisis disclosures, or similarly sensitive details unless the request is necessary, lawful, clearly disclosed, and specifically approved for the feature. Bulk export or processing of consumer health data may require a Consumer Health Data Addendum or other written instructions.

12.6 Security and incidents

Each party will use reasonable safeguards appropriate to the information it controls. You must protect exported information, restrict access to authorized personnel, and securely delete it when no longer needed.

You must notify [email protected] without undue delay, and where reasonably possible within forty-eight (48) hours, after discovering unauthorized access, loss, disclosure, or misuse involving the Services or information obtained through them. You will preserve evidence and reasonably cooperate with investigation, containment, notices, and legally required response.

Neither party may publicly identify the other as responsible for an incident without prior consultation unless disclosure is legally required.

13. Marketing, Communications, Reviews, and Affiliates

13.1 Email, SMS, and direct marketing

You are responsible for compliance with laws governing email, text messages, automated calls, direct messages, advertising, and marketing consent. You must:

  • use accurate sender information and non-deceptive subject lines;
  • include required identification, address, and opt-out mechanisms;
  • honor opt-outs and platform suppression records promptly;
  • distinguish transactional messages from promotional messages;
  • obtain legally required consent before marketing texts, calls, or automated communications;
  • maintain evidence of consent;
  • not upload purchased, scraped, harvested, or unlawfully obtained contact lists; and
  • monitor vendors sending messages on your behalf.

You may send service messages reasonably necessary to deliver an active Storyteller Offer, but may not disguise marketing as a service message.

13.2 Claims and substantiation

Before publishing an objective claim, you must possess evidence reasonably sufficient for the claim, including competent and reliable scientific evidence when legally required for a health or safety claim. You are responsible for the overall impression created by words, images, demonstrations, testimonials, and omissions. A disclaimer does not cure an otherwise misleading presentation.

You must not promise guaranteed, typical, or extraordinary results without accurate qualifications and substantiation. At our reasonable request, you will provide supporting records or remove the claim while it is reviewed.

13.3 Reviews, testimonials, endorsements, and influence

You may not:

  • create, buy, sell, or knowingly use fake or false reviews or testimonials;
  • condition an incentive on a positive or negative review;
  • fail to disclose an employee, family, ownership, sponsorship, affiliate, free-product, or other material connection when required;
  • use unfounded threats, intimidation, or unequal moderation to suppress truthful negative reviews;
  • misrepresent an affiliated website, organization, or ranking as independent; or
  • purchase or use fake indicators of social-media influence.

An incentivized review must be honest, not conditioned on sentiment, and accompanied by a clear and conspicuous disclosure where required.

13.4 Affiliates and referrals

Affiliate, ambassador, referral, or revenue-sharing programs require our approval when they use Gateway tracking or platform data. You are responsible for participants’ claims and disclosures concerning your Storyteller Offer. Commissions, refunds, reversals, attribution windows, prohibited traffic, and payment timing are governed by the applicable published program terms or addendum.

14. Accessibility

We are responsible for accessibility of platform-controlled navigation, account controls, Gateway components, and other native elements to the extent required by law. You are responsible for accessibility of Storyteller Content and Storyteller-controlled instruction.

You will use reasonable efforts appropriate to the offering and applicable law to provide:

  • accurate synchronized captions or equivalent access for core prerecorded video;
  • transcripts or alternatives for essential audio;
  • meaningful alternative text for instructional images and charts;
  • structured headings, readable documents, and clear link text;
  • sufficient contrast and information not conveyed by color alone; and
  • reasonable accommodation information for live or interactive instruction.

The parties will reasonably cooperate when a reported barrier involves both platform and Storyteller Content. Accessibility does not require a fundamental alteration or an undue burden where applicable law recognizes that limitation, but alternative access may still be required.

15. Imports, Migrations, and Third-Party Services

15.1 RSS imports

Podcast and blog RSS imports copy selected material into a configured feed. They do not transfer ownership of the original feed, media, hosting account, or subscriber list. You remain responsible for imported rights and permissions from co-hosts, guests, publishers, and other rights holders.

15.2 Scheduled migrations

If we approve and schedule a Skool or other third-party migration:

  • the migration is ordinarily read-and-copy and will not intentionally delete or alter the source;
  • you will make and retain an independent export of members and important materials first;
  • imported courses remain drafts until you approve publication;
  • we request the lowest practical access level and you remove temporary access after completion;
  • you may perform available transfer steps yourself rather than provide credentials;
  • results depend on source permissions, data quality, rate limits, and feature compatibility; and
  • we do not guarantee a complete or error-free migration.

If we accidentally alter source data through our direct action, we will stop, notify you, and provide reasonable assistance using your pre-migration export. Re-running or deleting an incomplete Story Haven import is the ordinary remedy for an import failure.

Migration and historical payments do not create Monthly Gateway Volume.

15.3 Third-party services

Stripe, later-supported processors, app stores, identity providers, hosting providers, and other third parties have their own terms, fees, availability, risk controls, and technical limits. Your use may require a separate account and agreement. We are not responsible for a third party’s independent acts, outages, policy changes, account decisions, or data practices.

16. Gateway and Storyteller Merchant Accounts

Effective on Gateway launch

This Section 16 applies when Gateway is enabled for your account. It does not require you to connect a merchant account or process Customer Payments today.

16.1 Storyteller is merchant of record

For every Gateway Transaction, the Storyteller—not Grace Unworthy—is the merchant of record, seller, and provider of the Storyteller Offer. The Storyteller’s Merchant Account receives and processes the Customer Payment. Grace Unworthy provides the cart, checkout, subscription-management, and routing interface but does not collect or hold Customer funds on the Storyteller’s behalf.

Checkout, receipts, Customer terms, support information, and available statement descriptors must clearly identify the Storyteller as merchant and seller. You are responsible for fulfillment, Customer-facing transaction obligations, refunds, chargebacks, transaction taxes, legally required receipts, and compliance with your processor agreement.

16.2 Supported processors

Stripe is currently the supported Merchant Account provider. You may request support for another processor, but we are not required to build or approve an integration. A new processor may require additional terms, development, testing, fees, or technical limitations.

We may add, replace, suspend, or discontinue a processor integration on reasonable notice where practical. Immediate action may be taken for security, law, processor requirements, or material operational risk.

16.3 Connection authorization

You authorize the Gateway to connect to your Merchant Account using supported tokens, keys, webhooks, APIs, and permissions necessary to create and manage authorized transactions, subscriptions, refunds, reconciliation, and reporting. You will not provide broader credentials than requested and may disconnect access subject to active Customer and payment obligations.

Payment-card data is collected or tokenized by the supported processor. We do not intend to store full card numbers or security codes on our application servers. You remain responsible for obligations assigned to you by the processor, including account security, PCI requirements, business verification, dispute responses, and prohibited-business rules.

16.4 Customer support and transaction decisions

You are responsible for substantive support, fulfillment, cancellation decisions, and refund decisions for your Storyteller Offers, subject to checkout terms, our Refunds & Cancellations Policy, processor rules, and law. We may provide technical checkout support and may transmit your approved refund or subscription instruction to the processor.

We may disable a checkout, renewal, or Gateway connection when reasonably necessary for security, fraud prevention, legal compliance, processor requirements, Customer protection, or material breach. Because funds are held by your processor, you remain responsible for completing required refunds even if the Gateway is disabled.

17. Platform Fees, Statements, and ACH Billing

Effective on Gateway launch

This Section 17 — including the progressive Platform Fee (10% on the first $10,000 of Monthly Gateway Volume, stepping down to 3%), monthly statements, ACH debit and credit, and tax-form responsibilities — takes effect when Gateway Transactions are processed for you. No Platform Fee or ACH is charged before that launch.

17.1 When fees apply

Community hosting remains free unless separate terms state otherwise. Platform Fees apply to Gateway Transactions processed for you through Story Haven Checkout or related enabled Gateway features.

17.2 Progressive Platform Fee

The gross Platform Fee is calculated each calendar month using the following progressive tiers:

Portion of Monthly Gateway VolumeFee applied to that portion
First $10,000.0010%
$10,000.01 through $25,000.009%
$25,000.01 through $50,000.008%
$50,000.01 through $100,000.007%
$100,000.01 through $250,000.006%
$250,000.01 through $500,000.005%
$500,000.01 through $1,000,000.004%
Amounts over $1,000,000.003%

Each rate applies only to the portion within that tier. Tiers reset on the first day of each calendar month and do not retroactively change lower-volume portions.

Illustrative example: If Monthly Gateway Volume is $300,000, the gross Platform Fee is $19,350:

PortionCalculationFee
First $10,000$10,000 × 10%$1,000
Next $15,000$15,000 × 9%$1,350
Next $25,000$25,000 × 8%$2,000
Next $50,000$50,000 × 7%$3,500
Next $150,000$150,000 × 6%$9,000
Remaining $50,000$50,000 × 5%$2,500
Total$19,350

The example is explanatory only. Actual statements use applicable transaction records and adjustments.

17.3 Aggregation and anti-avoidance

We may aggregate Gateway volume from Storyteller accounts, organizations, Merchant Accounts, or offers under common ownership or control when separated primarily to obtain additional tier resets, lower fees, duplicative promotions, or other unintended advantages. We will apply aggregation reasonably and identify the accounts included.

You may sell outside the Services. However, you may not manipulate Gateway records, relabel Gateway Transactions, or reroute a Customer during an active Gateway checkout or Gateway-originated subscription primarily to evade the Platform Fee.

17.4 Processor fees and other expenses

Your Merchant Account fees, processing fees, currency-conversion fees, payout fees, dispute fees, taxes, affiliate commissions, and other processor or business expenses are separate from the Platform Fee and do not reduce Monthly Gateway Volume.

17.5 Promotions, installments, currency, and rounding

Monthly Gateway Volume reflects the amount actually charged to the Customer before processor fees and excluding separately stated transaction taxes.

  • A Storyteller-funded discount reduces Monthly Gateway Volume.
  • A Grace-funded subsidy counts only to the extent actually paid to or for the Storyteller.
  • Each installment and subscription renewal counts when settled.
  • Gift cards, credits, bundles, sponsorships, shipping, tips, or similar amounts are treated according to the checkout configuration and any applicable program terms.
  • Non-U.S.-dollar transactions are converted to U.S. dollars using the processor’s settlement conversion rate or, if unavailable, a commercially reasonable exchange rate for the settlement date.
  • Calculations are rounded to the nearest U.S. cent at the invoice level, with half cents rounded up.

17.6 Refunds, credits, chargebacks, and Fee Adjustment Credits

If a Gateway Transaction is refunded, credited, charged back, or finally reversed after the Platform Fee for that transaction was invoiced, we issue a "Fee Adjustment Credit" equal to the Platform Fee previously charged on the adjusted amount. For a partial adjustment, the credit is proportional to the adjusted portion using the fee rate originally assigned to that amount on the original statement.

A provisional payment dispute does not create a Fee Adjustment Credit until the processor records a final debit or reversal. If the Storyteller later wins the dispute and the Customer Payment is restored, the corresponding fee becomes due again.

We do not reopen a paid invoice. Fee Adjustment Credits appear on the next monthly statement. Our records and the supported processor’s transaction records control absent manifest error.

17.7 Monthly statement and invoice

We will provide a monthly statement showing, at a minimum:

  • Gateway Transactions and Monthly Gateway Volume;
  • excluded transaction taxes;
  • volume by fee tier;
  • the gross Platform Fee;
  • Fee Adjustment Credits and other authorized adjustments;
  • the final amount payable by the Storyteller or refundable by Grace Unworthy; and
  • the scheduled ACH date.

The statement and invoice are issued after month-end. Unless the invoice states a later date, payment is due ten (10) calendar days after issuance.

17.8 ACH debit and credit authorization

As a condition of paid Gateway access, you must complete a separate ACH authorization and maintain a valid U.S. bank account or another approved payment method. Subject to that authorization, you authorize Grace Unworthy and its payment provider to:

  • initiate an ACH debit for the final amount due on each invoice;
  • retry a returned or failed debit as permitted by law and network rules;
  • correct an erroneous debit or credit; and
  • initiate an ACH credit for a net refund owed to you.

The invoice and statement serve as advance notice of the amount and scheduled debit date. We will not initiate the debit before the date shown. Revoking ACH authorization stops future debits after the revocation is processed but does not cancel amounts already owed, previously authorized entries, active Customer duties, or another lawful collection method.

You must keep bank information current and maintain sufficient funds. You are responsible for actual bank-return charges or reasonable third-party collection costs caused by an unjustified failed payment, to the extent permitted by law. We may require payment by another method after repeated failures.

17.9 Net refunds owed to the Storyteller

If Fee Adjustment Credits and other approved adjustments exceed current Platform Fees and you owe no undisputed past-due amount, we will issue the net difference as an ACH credit to the authorized bank account within ten (10) business days after the statement date. We will not retain an undisputed net credit indefinitely as a balance against future months.

If an ACH credit fails because of inaccurate or closed account information, we may hold the amount without interest until you provide valid instructions. Unclaimed amounts are handled under applicable unclaimed-property law.

17.10 Invoice disputes

You must dispute an invoice in good faith within fifteen (15) calendar days after receipt, identifying the transaction or calculation and explaining the issue. You must timely pay undisputed amounts. If a dispute is submitted at least three (3) business days before the scheduled debit, we may pause the specifically disputed portion while reviewing it; undisputed amounts remain payable.

The parties will correct confirmed errors promptly. Failure to dispute within fifteen days does not waive demonstrable fraud or a mathematical error that could not reasonably have been discovered earlier.

17.11 Failed payment, security deposit, and suspension

An overdue undisputed amount may accrue interest at the lesser of one percent (1%) per month or the maximum lawful rate beginning thirty (30) days after the due date.

After an ACH failure, repeated payment default, material fraud concern, unusually rapid Gateway-volume growth, or other reasonable credit risk, we may require advance payment, a backup payment method, or a reasonable security deposit for our Platform Fees. We do not place a reserve on or take ownership of Customer funds held in your Merchant Account.

We will disclose the amount and basis of any security deposit and return the unused balance after your billing and post-termination obligations are resolved. We may suspend new Gateway sales or commercial features for overdue undisputed balances after reasonable notice.

17.12 Outside and legacy payments

Payments initiated independently outside the Gateway—including through your separate website, processor dashboard, cash, check, legacy Skool billing, or another unrelated system—are excluded from Monthly Gateway Volume. A later renewal, installment, rebill, or purchase processed through the Gateway is included when settled.

17.13 Taxes and tax reporting

Because the Storyteller is merchant of record, you are responsible for determining, calculating, collecting, reporting, and remitting sales, use, value-added, and similar transaction taxes on Gateway Transactions, except to the extent a supported processor expressly assumes that obligation under its agreement with you.

You are also responsible for income, self-employment, payroll, franchise, business-license, and similar taxes imposed on you. We may request tax forms, report payments or fees, or withhold amounts when legally required. Missing or invalid tax information may result in delayed features or billing adjustments. Neither party provides tax advice to the other.

17.14 Changes to fees

We may change fee tiers or commercial terms only prospectively. A material fee change requires at least thirty (30) days’ advance notice and your re-acceptance before applying. A change does not affect fees accrued before its effective date.

18. Refunds, Cancellations, and Customer Disputes

Customer refunds, cancellations, subscription renewals, failed-payment retries, and chargebacks follow the Refunds & Cancellations Policy, checkout disclosures, processor rules, and mandatory law.

As merchant of record, you are responsible for making and funding required refunds through your Merchant Account, responding to chargebacks, supplying evidence, maintaining a usable refund balance, and honoring cancellation requirements. You authorize the Gateway to transmit approved refund, cancellation, and subscription-management instructions to your processor.

We may disable a checkout, pause new enrollments, stop renewals, or require you to issue a refund when reasonably necessary to comply with law, processor rules, published refund terms, fraud controls, or a documented failure to deliver. Where practical, we will consult you before action based primarily on a quality dispute.

You may not direct Customers to submit false dispute reasons, evade refund obligations, obstruct lawful cancellation, or move a Customer off-platform to avoid a valid remedy.

Customer purchases of Storyteller-sold items are also governed by the Storyteller Purchase & Release Terms. Only you may authorize a refund for those items. Grace Unworthy has no refund obligation and no authority to compel one. Disputes between you and a Customer may use the Biblical Dispute Resolution Policy if both of you consent.

19. Records, Cooperation, and Limited Review

You will retain records reasonably supporting:

  • ownership and licenses for Storyteller Content;
  • contributor, participant, testimonial, and recording releases;
  • advertising, health, financial, and outcome claims;
  • parental permissions and youth safeguards;
  • professional licenses and credentials;
  • Customer fulfillment, cancellation, and refund decisions;
  • marketing consent and suppression records;
  • Merchant Account reconciliation; and
  • legally required business and tax information.

Retain these records for the longer of four (4) years after the applicable activity or the period required by law, with longer retention for an active dispute, investigation, or legal hold.

When we reasonably investigate a Customer complaint, rights claim, processor inquiry, legal request, safety incident, or suspected material breach, you will provide relevant records within a reasonable time. Any review will be limited to information reasonably related to the issue and handled as Confidential Information. We do not obtain a general right to audit all of your finances.

20. Insurance

You are responsible for insurance reasonably appropriate to your activities. Based on the risk of an approved Storyteller Offer, we may require proof of specified coverage, limits, and endorsements, including commercial general liability, professional liability or errors and omissions, cyber/privacy, event, product liability, workers’ compensation, automobile, or abuse and molestation coverage.

Insurance requirements will be stated in an approval notice or addendum. Insurance does not limit your responsibilities under this Agreement.

21. Confidentiality

Each party may receive nonpublic business, technical, security, Customer, pricing, or operational information from the other ("Confidential Information"). The receiving party will use Confidential Information only to perform under this Agreement, protect it using reasonable care, and disclose it only to personnel and service providers who need it and are subject to appropriate confidentiality obligations.

Confidential Information does not include information the receiving party can document: (a) is publicly available through no breach; (b) was already lawfully known without restriction; (c) was lawfully received from a third party without confidentiality duty; or (d) was independently developed without use of the other party’s Confidential Information.

A party may disclose Confidential Information when legally required but will provide advance notice where lawful and reasonably practical. These obligations continue for three (3) years after disclosure, except that trade secrets and protected personal information remain protected as long as applicable law requires or the information remains a trade secret.

22. Service Changes, Availability, Backups, and Beta Features

We may add, change, limit, suspend, or discontinue Services or features. We will provide reasonable notice when a planned change materially impairs an active paid Storyteller Offer, except when immediate action is required for security, safety, fraud, law, processor requirements, or circumstances outside our reasonable control.

Features identified as preview, pilot, experimental, early access, or beta may be incomplete, changed, or withdrawn at any time and may not be suitable for production use. We do not promise uninterrupted availability, specific uptime, backward compatibility, permanent retention, or a particular export format unless a signed service-level agreement says otherwise.

You must retain independent copies of original Storyteller Content and critical records. Available exports do not include proprietary rankings, security systems, fraud signals, other users’ private information, or third-party content we cannot lawfully provide.

23. Suspension and Review

We may suspend content, Gateway access, ACH billing changes, administrative access, exports, or other Storyteller features when we reasonably believe suspension is necessary to address:

  • a material breach of this Agreement or an incorporated policy;
  • unlawful, infringing, fraudulent, deceptive, or unsafe activity;
  • a security incident or credible threat;
  • excessive refunds, disputes, fraud indicators, or processor action;
  • harm to Customers, members, the Services, or third parties;
  • a legal or government requirement;
  • incomplete identity, tax, bank, sanctions, or processor verification; or
  • an overdue undisputed amount after applicable notice.

Where lawful and practical, we will explain the general reason and provide a reasonable opportunity to cure or appeal. We aim to acknowledge a non-emergency written appeal within five (5) business days but do not guarantee final resolution while a processor, bank, court, agency, rights claimant, or safety investigation controls timing.

The parties will coordinate material Customer communications where practical and will not knowingly make misleading public statements blaming the other while an investigation is unresolved.

24. Term, Termination, and Customer Continuity

24.1 Term

This Agreement begins when accepted and continues until terminated.

24.2 Termination by Storyteller

You may terminate by written notice and stopping Storyteller features. If active Customers remain, termination becomes operationally complete after the parties implement the continuity steps below. You remain responsible for obligations and amounts arising before or surviving termination.

24.3 Termination by Grace Unworthy

We may terminate for a material breach remaining uncured ten (10) days after notice, prolonged payment default, repeated safety or policy violations, fraud, processor termination, legal risk, or discontinuation of the Services. We may terminate immediately when a breach cannot reasonably be cured or continued access presents material legal, security, safety, or financial risk.

24.4 Customer continuity hierarchy

When the relationship ends or a Storyteller Offer is discontinued:

  1. new sales and future renewals may be disabled;
  2. existing Customers should retain access through the period already paid where technically, legally, and commercially practical;
  3. you must continue fulfilling prepaid obligations or fund legally required refunds;
  4. the parties may approve a lawful and technically practical migration;
  5. if continued delivery is unavailable, the Storyteller will issue or fund appropriate refunds as merchant of record unless the failure was caused solely by Grace Unworthy’s uncured material breach;
  6. you will cooperate on accurate Customer notices; and
  7. open refunds, chargebacks, ACH invoices, Fee Adjustment Credits, and disputes continue through the ordinary process.

24.5 “Lifetime” and long-term access

You may not offer "lifetime," "permanent," or indefinite access without our written approval and a checkout definition of what the term means. Unless a checkout disclosure approved by us says otherwise, "lifetime" means for as long as you continue to offer and have the right to provide the Storyteller Offer through the Services, not the Customer’s biological lifetime or a guarantee that the platform will operate forever.

24.6 Effect and survival

Upon termination, branded spaces and Storyteller Content may be unpublished after the continuity and export period. Termination does not transfer ownership of Storyteller Content.

Sections that by their nature should survive—including definitions needed to interpret surviving duties; intellectual-property restrictions and transition licenses; data, confidentiality, payment, ACH, refund, records, indemnity, liability, dispute, export, and accrued obligations—survive termination.

25. Export, Deletion, and Transition

You may request export and deletion under the Data Deletion & Retention Policy. Available exports depend on the feature, data category, consent, third-party format, and technical capability.

Where reasonably practical, we will allow at least thirty (30) days after ordinary termination to request an available export before Storyteller Content is deleted from active systems. This period does not apply when immediate removal is required for law, security, safety, infringement, or severe breach.

Deletion and export cannot fully unwind:

  • copies already delivered to or lawfully retained by Customers or members;
  • transaction references, invoices, tax, fraud, moderation, ACH, and dispute records;
  • records subject to legal hold;
  • de-identified or aggregated information that no longer identifies a person; or
  • encrypted backup copies awaiting normal rotation.

Other members’ Story Haven accounts and independently created content remain theirs. If the Services are discontinued or undergo a change of control, we will provide reasonable notice where practical and will not treat that event as permission to use Storyteller Content for unrelated marketing or model training.

26. Warranties and Disclaimers

Each party represents that it has authority to enter this Agreement.

You additionally make the representations and warranties stated throughout this Agreement, including those concerning content rights, lawful marketing, Merchant Account authority, professional credentials, Customer fulfillment, and data use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, GATEWAY, MIGRATIONS, AUTOMATED SYSTEMS, AND RELATED FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH EVERY PROCESSOR OR THIRD-PARTY SERVICE; THAT MIGRATIONS WILL BE COMPLETE; THAT AUTOMATED OR AI OUTPUT WILL BE ACCURATE; OR THAT YOU WILL ACHIEVE ANY PARTICULAR MINISTRY, AUDIENCE, OR REVENUE OUTCOME.

Nothing in this Agreement excludes a warranty or right that cannot lawfully be excluded.

27. Indemnification

27.1 Storyteller indemnity

You will defend, indemnify, and hold harmless Grace Unworthy and its affiliates, officers, members, employees, contractors, and agents from third-party claims, Customer demands, damages, judgments, settlements, penalties, refunds, chargebacks, costs, and reasonable attorneys’ fees arising out of or relating to:

  • Storyteller Content or a Storyteller Offer;
  • your advertising, claims, instructions, services, products, events, or dealings with Customers or members;
  • your Merchant Account, fulfillment, taxes, refunds, subscriptions, or chargebacks;
  • your breach of this Agreement or an incorporated policy;
  • your violation of law or third-party rights;
  • your personnel, collaborators, venues, vendors, or affiliates;
  • taxes, employment duties, licenses, or professional requirements for which you are responsible; or
  • your fraud, gross negligence, or willful misconduct.

You have no indemnification obligation to the extent a claim was caused by our gross negligence, willful misconduct, or unauthorized material alteration of Storyteller Content.

27.2 Limited platform IP indemnity

We will defend and indemnify you against a third-party claim that your authorized use of the unmodified Services directly infringes a United States copyright, trademark, or patent, except to the extent the claim arises from Storyteller Content, your specifications, an unauthorized combination or modification, continued use after notice, or your breach.

We may obtain continued use rights, modify or replace the affected feature, or terminate the affected feature and refund any prepaid platform charge specifically attributable to the unavailable period. This Section states our entire obligation for such an infringement claim.

27.3 Procedure

The indemnified party must promptly notify the indemnifying party, provide reasonable cooperation, and allow control of the defense and settlement. Late notice reduces the obligation only to the extent it materially prejudices the defense.

The indemnifying party may not settle in a way that admits wrongdoing by, imposes a nonmonetary obligation on, or fails to release the indemnified party without that party’s written consent, not to be unreasonably withheld. The indemnified party may participate with its own counsel at its own expense.

28. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, ARISING OUT OF OR RELATING TO THIS AGREEMENT, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

EXCEPT FOR THE EXCLUDED MATTERS BELOW, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF:

  1. ONE HUNDRED U.S. DOLLARS (US $100); OR
  2. THE PLATFORM FEES PAID OR PAYABLE FOR THE STORYTELLER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The liability cap does not limit:

  • Platform Fees, ACH obligations, refunds, chargebacks, taxes, or other payment obligations;
  • misuse of the other party’s intellectual property or Confidential Information;
  • a party’s breach of data-protection or security obligations;
  • indemnification for third-party claims;
  • fraud, gross negligence, or willful misconduct; or
  • liability that cannot lawfully be limited.

29. Dispute Resolution and Governing Law

29.1 Informal resolution first

Before filing arbitration or a lawsuit, the complaining party must send a written notice to [email protected] and the other party’s designated legal-notice address. The notice must describe the dispute, supporting facts, requested relief, and contact information. The parties will attempt in good faith to resolve it for at least sixty (60) days after receipt. This is a condition precedent to formal proceedings except where immediate injunctive relief is reasonably necessary. If both parties consent, a good-faith attempt under the Biblical Dispute Resolution Policy may satisfy this condition, as described in that policy.

29.2 Binding individual arbitration

Unresolved disputes arising out of or relating to this Agreement or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that Consumer Arbitration Rules apply if the AAA determines they are legally required. The Federal Arbitration Act governs this provision.

The arbitrator has exclusive authority to decide arbitrability, scope, enforceability, and formation of this arbitration agreement, except that a court decides the enforceability of the class-action waiver. Arbitration will occur in Okaloosa County, Florida, or remotely by video or telephone upon reasonable request. Fees are allocated under the applicable AAA rules, subject to mandatory law.

The arbitration, filings, evidence, and award will be treated as Confidential Information except as needed to enforce an award, comply with law, or obtain professional advice. An award may be entered in any court of competent jurisdiction.

29.3 Jury and class-action waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. CLAIMS MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS WITHOUT ALL PARTIES’ WRITTEN CONSENT.

If the class waiver is unenforceable for a particular claim, that claim—and only that claim—will proceed in court after arbitrable matters are completed.

29.4 Exceptions

Either party may:

  • bring an eligible individual claim in small-claims court;
  • seek temporary or injunctive relief in court to protect intellectual property, Confidential Information, account security, or safety;
  • pursue collection of an undisputed overdue amount in a court of competent jurisdiction; or
  • report a matter to a government agency.

29.5 Governing law and court venue

This Agreement is governed by Florida law, without regard to conflict-of-law principles, and applicable federal law. For a claim not subject to arbitration, the parties consent to exclusive jurisdiction and venue in state courts located in Okaloosa County, Florida, or the federal court having jurisdiction over that county.

Mandatory rights that cannot lawfully be waived remain unaffected.

30. Changes and Re-Acceptance

We may update this Agreement or an incorporated policy to reflect new features, laws, risks, processors, or business practices.

We will provide reasonable advance notice and require re-acceptance when a change materially affects:

  • Platform Fees, ACH billing, or payment rights;
  • the license to Storyteller Content;
  • confidentiality or data-use rights;
  • indemnity or liability;
  • arbitration or governing law; or
  • termination obligations for active Customers.

Routine safety, technical, contact, vendor, or operational updates may take effect through notice under the applicable policy. A change does not retroactively alter accrued payment obligations, ownership rights, or an existing dispute unless both parties expressly agree or law requires it.

We retain accepted versions and acceptance records. If you do not accept a material update, you may terminate under Section 24, subject to active Customer, payment, refund, and transition obligations.

31. General Terms

31.1 Notices

Legal notices to Grace Unworthy must be sent to [email protected] and may also be mailed to:

Grace Unworthy Ministries, LLC
5753 Highway 85 N PMB 3496
Crestview, FL 32536

We may send notices to the legal, billing, or Account Owner email associated with your account, through an in-product message, or to another address you provide. You must keep those addresses current and monitored.

Ordinary email notice is effective twenty-four (24) hours after sending unless the sender receives a delivery-failure message. Urgent security, suspension, processor, or safety notice is effective when sent. Formal arbitration demands must also comply with applicable AAA rules.

31.2 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign it in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Services, provided the successor assumes applicable obligations.

31.3 Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil disorder, labor disputes, internet or utility failures, cyberattacks, processor or bank outages, epidemics, or government action. This does not excuse accrued payment, refund, confidentiality, security-response, or Customer-protection obligations that remain reasonably performable.

31.4 Entire agreement

This Agreement, incorporated policies, accepted addenda, and signed order forms are the entire agreement concerning Storyteller activity and supersede prior discussions or understandings on that subject. Marketing copy, support messages, and informal emails do not amend it.

31.5 Amendments and waivers

Except for updates under Section 30, an amendment or waiver must be in writing and accepted by authorized representatives. Failure to enforce a provision is not a waiver of later enforcement.

31.6 Severability

If a provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and remaining provisions remain effective.

31.7 No third-party beneficiaries

Except for indemnified persons under Section 27, this Agreement creates no rights for a third party.

31.8 Interpretation, order forms, and electronic records

Headings are for convenience and do not affect interpretation. "Including" means "including without limitation." An accepted order form or feature addendum may add service-specific terms but does not amend unrelated provisions unless it expressly identifies them.

Electronic acceptance, signatures, ACH authorizations, notices, invoices, statements, and records have the same effect as paper originals to the extent permitted by law. Counterparts and electronic copies are treated as originals.
